Terms of Service

1. Acceptance

By creating an account, submitting a blast, or otherwise using PartsBroadcast ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms. If you do not agree, do not use the Service.

2. Service Description

PartsBroadcast is a B2B email broadcast platform for the IT Asset Disposition (ITAD) industry. The Service enables:

  • Senders to submit inventory listings (Want-to-Sell / WTS blasts) for distribution to opted-in receivers.
  • Buyers to submit equipment requests (Want-to-Buy / WTB blasts) for distribution to active senders.
  • Receivers to receive inventory blasts and WTB requests filtered by their commodity category and brand preferences, delivered in real-time, daily digest, or weekly digest format.

All blasts — WTS and WTB — are subject to human moderation before delivery. PartsBroadcast reserves the right to approve, reject, or request modifications to any blast at its sole discretion.

PartsBroadcast is solely an exchange platform that connects buyers and sellers. We are not a party to any transaction between users.

3. Account Registration

  • You must provide a valid business email address and accurate company information.
  • You are responsible for maintaining the security of your account credentials.
  • One account per email address. You may hold multiple roles (sender, buyer, receiver) under one account.
  • We reserve the right to refuse registration or terminate accounts that do not represent legitimate ITAD industry businesses.

4. User Roles and Obligations

4.1 Senders

  • Senders must maintain an active paid subscription to submit blasts.
  • Blasts must contain legitimate ITAD inventory listings, service offerings, or related B2B content.
  • Senders are responsible for the accuracy of all information in their blasts, including product descriptions, quantities, conditions, and pricing.
  • Senders must not submit blasts containing counterfeit goods, stolen property, prohibited items, or any content that violates applicable law.
  • Senders receive aggregate open-rate statistics for their blasts. Individual receiver identities are not disclosed.

4.2 Buyers

  • Buyers must maintain an active paid subscription to submit WTB requests.
  • WTB blasts must describe legitimate equipment or service needs relevant to the ITAD industry.
  • Buyers are responsible for the accuracy of their requests, including specifications, quantities, and budget ranges.
  • Buyers receive aggregate open-rate statistics for their WTB blasts.

4.3 Receivers

  • Receiver accounts are free. No subscription is required.
  • Receivers select their commodity categories, brand preferences, and delivery schedule (real-time, daily digest, or weekly digest).
  • Receivers may update their preferences or unsubscribe from blast delivery at any time through their dashboard or via the unsubscribe link in any email.
  • Receivers may delete their account and all associated data at any time.

5. Anonymous Reply Proxy

All blast emails use an anonymous reply-to address provided by PartsBroadcast. When a recipient replies to a blast:

  • The reply is forwarded to the original sender or buyer through our relay proxy.
  • The sender's or buyer's personal email address is not revealed to the recipient, and the recipient's personal email address is not revealed to the sender or buyer, until either party chooses to disclose it in the body of their reply.
  • Reply messages are processed in transit (headers are rewritten for deliverability) but are not stored by PartsBroadcast.
  • PartsBroadcast is not responsible for the content of replies between users.

6. Open Tracking

Blast emails contain a small transparent tracking pixel. When a blast is opened, we record the open event to provide senders and buyers with aggregate delivery statistics (open count and open rate). This data is collected per unique blast-recipient combination. By receiving blasts, you acknowledge that open tracking is a standard feature of the Service. 7. Public Inventory Archive

Approved blast summaries — including subject line, body preview, commodity categories, blast type (WTS/WTB), and date — are displayed on our public inventory archive page. No sender, buyer, or receiver identifying information is included in the public archive. By submitting a blast, you grant PartsBroadcast a non-exclusive, royalty-free license to display the blast summary publicly for the purpose of operating the Service and promoting the platform.

8. Acceptable Use

You agree not to use the Service to:

  • Submit blasts containing false, misleading, or fraudulent information.
  • List counterfeit, stolen, or illegally obtained goods or equipment.
  • Send spam, phishing content, malware, or any content unrelated to ITAD industry commerce.
  • Harvest, scrape, or collect email addresses or personal information of other users.
  • Circumvent moderation, rate limits, or other platform controls.
  • Impersonate another person or business.
  • Use the Service for any purpose that violates applicable local, state, national, or international law.

Violation of these terms may result in immediate account termination without refund.

9. Transactions Between Users

All transactions conducted between buyers and sellers are at the sole discretion and risk of the parties involved. By using PartsBroadcast, you acknowledge and agree:

  • PartsBroadcast does not process payments of any kind between buyers and sellers.
  • PartsBroadcast does not verify goods — including condition, quantity, authenticity, functionality, or any other claims made in inventory listings or WTB requests.
  • PartsBroadcast does not verify services — including certifications (R2, NAID, e-Stewards), insurance, licensing, or any other claims made in service-related blasts.
  • PartsBroadcast performs only a basic verification of sender and buyer accounts to confirm they represent a legitimate business. This is not a guarantee of legitimacy, financial standing, reliability, or trustworthiness.
  • PartsBroadcast does not mediate disputes between users. We may, at our sole discretion, ban users who engage in fraudulent activity or repeatedly fail to complete agreed-upon transactions.
  • Buyers and receivers are solely responsible for their own due diligence before sending any funds, including but not limited to: verifying seller identity, confirming equipment condition, agreeing on payment terms, arranging inspection or escrow where appropriate, and verifying service provider certifications.

PartsBroadcast accepts zero liability for any loss of funds, loss of equipment, misrepresented condition, non-delivery, service failures, or any other outcome of a transaction between users. We are an exchange platform that connects buyers and sellers — nothing more.

10. Billing and Subscriptions

  • Sender subscriptions: $49/month (monthly) or $348/year ($29/month billed annually).
  • Buyer subscriptions: $29/month (monthly) or $180/year ($15/month billed annually).
  • Receiver accounts: free. No payment required.
  • All payments are processed by Stripe, Inc. By subscribing, you agree to Stripe's terms of service.
  • Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date.
  • You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period — no partial refunds are issued for unused time.
  • If your subscription lapses, your sending privileges are suspended immediately. Your account, blast history, and data are retained. You may reactivate at any time by subscribing again.
  • PartsBroadcast reserves the right to change pricing with 30 days' notice to affected users. Existing subscriptions will not be affected until their next renewal.

11. Intellectual Property

  • PartsBroadcast and its logo, design, and software are the property of PartsBroadcast. You may not copy, modify, or distribute any part of the Service without written permission.
  • You retain ownership of all content you submit (blast text, inventory listings, WTB requests). By submitting content, you grant PartsBroadcast a non-exclusive, worldwide, royalty-free license to store, process, deliver, and display that content as necessary to operate the Service, including display in the public inventory archive and in digest emails.
  • This license terminates when your content is deleted, except where retention is required by law (see our Privacy Policy, Section 6).

12. Account Termination

  • By you: you may delete your account at any time from your dashboard. Deletion removes your personal data, preferences, and active subscriptions. See our Privacy Policy for data retention details.
  • By us: we reserve the right to suspend or terminate accounts that violate these Terms, including but not limited to: fraudulent activity, submission of prohibited content, abuse of the platform, or failure to maintain a legitimate ITAD business. Terminated accounts are not eligible for refunds.

13. Limitation of Liability

To the fullest extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
  • PartsBroadcast does not guarantee uninterrupted, timely, or error-free service. We self-host our infrastructure and perform maintenance as needed.
  • PartsBroadcast, its owners, operators, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from: your use of (or inability to use) the Service; any transaction between users; reliance on any blast content; unauthorized access to your data; or any other matter related to the Service.
  • In no event shall PartsBroadcast's total liability exceed the amount you paid to PartsBroadcast in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless PartsBroadcast, its owners, operators, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from:

  • Your use of the Service.
  • Content you submit, including blast listings and WTB requests.
  • Any transaction you enter into with another user.
  • Your violation of these Terms or any applicable law.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Orange County, California. You consent to the personal jurisdiction of these courts.

16. Force Majeure

PartsBroadcast shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, pandemics, labor disputes, government actions, power failures, internet or telecommunications failures, or cyberattacks.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via email to registered users at least 30 days before taking effect. The "Last updated" date at the top indicates the most recent revision. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
